These Terms govern your access to and use of GRX10's applications and website (the "Services"). By creating an account or using the Services, you agree to these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it ("Customer").
GRX10 provides Voice AI (AI voice agents and WhatsApp messaging), Micro CRM (customer relationship management), and Nudge (nurture/workflow automation), on a subscription basis. Features and plans are described at grx10.com and in your order.
You are responsible for the accuracy of your account information, for maintaining the confidentiality of credentials, and for all activity under your account. Notify us of any unauthorised use at security@grx10.com.
You must not use the Services to: violate law; send unlawful, deceptive, or unsolicited bulk communications (spam); place calls or messages without the recipient consent required by applicable law; infringe intellectual-property or privacy rights; transmit malware; or attempt to breach security or disrupt the Services. You are responsible for obtaining all consents required to contact your recipients (including call-recording and messaging consent) and for complying with telecom regulations (e.g. India TRAI/DLT, TCPA, and equivalent).
As between the parties, Customer owns the data it submits ("Customer Data"). Customer grants GRX10 the rights needed to provide the Services. GRX10 processes Customer Data as described in the Privacy Policy and Data Processing Addendum.
Fees are set out in your order or plan. Unless stated otherwise, fees are payable in advance and are non-refundable except as required by law. We may change pricing on renewal with notice.
The Services integrate with third-party platforms (e.g. Meta WhatsApp, telephony carriers, payment processors). Your use of those platforms is subject to their terms, and we are not responsible for them.
GRX10 and its licensors retain all rights in the Services and underlying software. These Terms grant no rights except the limited right to use the Services during your subscription.
Each party will protect the other's confidential information and use it only to perform under these Terms.
The Services are provided "as is" and "as available." To the maximum extent permitted by law, GRX10 disclaims all implied warranties. AI-generated outputs (including voice-agent responses and transcripts) may contain errors; you are responsible for reviewing them before relying on them.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. GRX10's total liability arising out of these Terms will not exceed the fees paid by Customer in the 12 months preceding the claim.
These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days. On termination, your right to use the Services ends and, on request, we will make Customer Data available for export for 30 days before deletion.
These Terms are governed by the laws of India, and the courts of Bengaluru, Karnataka have exclusive jurisdiction, without prejudice to mandatory consumer-protection rights in your jurisdiction.
We may update these Terms; material changes will be posted with a new effective date. Continued use after changes constitutes acceptance.
